Terms of Service
Please read these terms carefully before using the FR8 platform. By accessing or using our service, you agree to be bound by these terms.
These Terms of Service ("Terms") govern your access to and use of the FR8 platform and services provided by FREIGHT AS, a company registered in Norway. By using FR8, you agree to these Terms. If you are using FR8 on behalf of an organization, you are agreeing to these Terms for that organization.
1. Acceptance of Terms
By accessing and using the FR8 platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to update and change these Terms from time to time without notice. Any new features that augment or enhance the current Service shall be subject to these Terms.
2. Description of Service
FR8 provides a digital platform for dry bulk freight management, designed to serve ship owners, charterers, traders, and brokers in the maritime industry. Our services include:
- Real-time Forward Freight Agreement (FFA) tracking and analysis
- Live fuel price monitoring from global ports
- Automated freight calculations and voyage estimates
- AI-powered market insights through FRAI Agent
- Communication and negotiation tools for counterparties
3. User Accounts
To access certain features of the Service, you must create an account. When creating your account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Service.
4. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Notify FR8 immediately of any unauthorized access or security breach
- Ensure that your use of the Service complies with all applicable laws
- Not share your account credentials with unauthorized third parties
5. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. Prohibited activities include:
- ✕Attempting to gain unauthorized access to systems or data
- ✕Transmitting malware, viruses, or harmful code
- ✕Interfering with or disrupting the Service or servers
- ✕Scraping, harvesting, or collecting data without permission
- ✕Using the Service to send spam or unsolicited communications
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of FREIGHT AS and its licensors. This includes but is not limited to:
- The FR8 brand, logo, and trademarks
- Software, algorithms, and technical implementations
- User interface designs and documentation
The Service is protected by copyright, trademark, and other laws of Norway and international jurisdictions.
7. Data Collection, Use, Retention, and Security
a) Data Ownership
You retain all right, title, and interest in and to your User Data. Subject to your rights in your User Data, you grant FR8 a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, use, reproduce, modify, distribute, display, and otherwise process your User Data as necessary to provide and improve the Service, to perform analytics, and to comply with legal obligations.
b) License Scope
The license granted to FR8 includes the right to aggregate, transform, de-identify, and analyze User Data for the purpose of providing, improving, and developing products and services, enhancing performance, and creating Aggregated Data and insights.
c) Anonymization and Aggregation
FR8 will use commercially reasonable efforts to de-identify or anonymize User Data prior to creating Aggregated Data. Aggregated Data does not identify you or any individual and may be used, sold, licensed, disclosed, or otherwise exploited by FR8 for any business purpose in its sole discretion, including without limitation benchmarking, market reports, research, advertising, and commercialization.
d) Third-Party Sharing
FR8 may share Aggregated Data and other non-identifying information with third parties, including partners, vendors, and customers. FR8 may also share User Data with service providers acting on FR8's behalf to provide the Service, subject to contractual obligations to protect confidentiality and security.
e) Sale, Transfer, or Change of Control
You acknowledge and agree that FR8 may, in connection with a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or change of control transaction, sell, assign, transfer, or otherwise disclose User Data, Aggregated Data, and other business information to a third party. Any successor entity will have the right to continue to use User Data and Aggregated Data as set forth in these Terms. FR8 will use reasonable efforts to notify affected Users of any change in control or material transfer of User Data where notice is required by applicable law; however, FR8's inability to notify shall not prevent a transfer.
f) Data Retention
FR8 will retain User Data for as long as necessary to provide the Service and for legitimate business purposes, or as required by law. You may request deletion of User Data, subject to retention of copies for legal compliance, dispute resolution, fraud prevention, and enforcement of FR8's rights under these Terms.
g) Security
FR8 implements administrative, physical, and technical safeguards designed to protect User Data. While FR8 strives to protect User Data, FR8 cannot guarantee absolute security, and you acknowledge that any transmission of data is at your own risk.
8. Payment Terms
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the following:
Subscriptions are billed in advance. You authorize us to charge your payment method on a recurring basis until you cancel your subscription.
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for reasons including but not limited to:
- Breach of these Terms of Service
- Non-payment of applicable fees
- Fraudulent or illegal activity
- Upon your request to close your account
Upon termination, your right to use the Service will immediately cease. You may request an export of your data prior to account closure.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FR8 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amounts paid by you to FR8 during the twelve (12) months preceding the claim.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will:
- Post the updated Terms on this page
- Update the "Last updated" date at the top
- Notify you via email or in-app notification for significant changes
Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

These Terms of Service are governed by the laws of Norway. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Norway.
